Terms and Conditions

The following Terms and Conditions apply to all services provided by Lesley Moss. Lesley Moss trading as Northsouth Design & Web
NOTE: Any reference to “Lesley Moss” covers “Lesley J Moss”, “Northsouth Design” and ‘Northsouth Design & Web” as well as all ‘out source’ workers of Lesley Moss and Northsouth Design. All work is carried out by Lesley Moss on the understanding that the client has agreed to these terms and conditions.

DEFINITIONS
The following terms and conditions are a legal agreement between ‘Lesley Moss’ and the ‘Client’. The ‘Client’ being the person or organisation who directly engages services from Lesley Moss after accepting the order.

COPYRIGHT
1. Copyright is retained by Lesley Moss on all design work including words, pictures, ideas, visuals and illustrations until ALL costs have been settled. Where a choice of designs are presented, only ONE solution is deemed to be given by Lesley Moss as fulfilling the contract and copyright of the chosen design belongs to the client.

2. Both parties shall not upload or share publicly or on social media until completion and final balance of the project has been made. The client shall not share or use any of the ‘rejected ‘ designs. These remain the property of Lesley Moss.

3. By supplying text, images and other data to Lesley Moss for inclusion in any future designs, the client declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the client, or rightful copyright or trademark owner. By supplying images, text, or any other data to Lesley Moss, the client grants Lesley Moss permission to use this material freely in the pursuit of the design.

4. The client agrees to fully indemnify and hold Lesley Moss free from harm in any and all claims, resulting from the client in not having obtained all the required copyright, and/or any other necessary permissions.

5. Any Stock images purchased by Lesley Moss for use in artwork must not be passed by clients to other suppliers, Lesley Moss will not be held responsible for copyright fees if the companies in question have shared materials.

APPROVAL PROCESS
6. Lesley Moss requires the client to sign off a final proof before any work is sent to print or activated on the clients website or on social media (this may take place by email).

7. The client accepts that the digital artwork files provided as proofs for a design cannot accurately reproduce the final colours of a printed product.

8. Lesley Moss cannot be held responsible for any inaccuracies or errors in a design that has been signed off by the client including spelling and grammar. Where a client orders printing and requests not to see a final proof, or deems viewing a final proof unnecessary, Lesley Moss cannot
be held responsible for inaccuracies or errors in the final product. It is the clients responsibility to check for any error with content before signing off.

PROJECT DEADLINES AND CHANGES
9. Lesley Moss reserves the right to charge for any project that lies dormant for a period of four weeks or more. Invoices will be sent after 4 weeks if there is no communication from the client.

10. No communication from the client after 4 weeks will mean that any agreed deadlines will be void and a new deadline date will need to be agreed.

11. If for whatever reason the client cancels any work before completion, or decides not to publish completed designs the client will still be liable for any design fees (or part thereof) and also any expenses incurred.

12. The client agrees that changes to the project required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate hourly charge of £50.

13.If the brief changes during the project that affects the designs then a separate charge will be made.

14. The client also agrees that Lesley Moss holds no responsibility for any amendments made by any third party, before or after a design is published. Any changes made after the final sign off are subject to an additional charge.

15. Website projects- if not completed within two months from the date on the contract due to client delays with content or feedback, a further interim payment will need to be made.

DEPOSITS
16. A non refundable 50% deposit is due before any work starts. Payment shoudl be made by BACS transfer using the details on the invoice.

FINAL BALANCE PAYMENTS
17. Final payment will be made, once we have final sign off. The site can then be launched on the chosen hosting servers.

CONTENT
18. All content from the client must be provided electronically. This should be in the form of a word document or pdf.

19. All images supplied should be sent high resolution and should not be screenshots from phones or desktops.

20. Images should not be taken from Google unless permission has been granted by the owner and they must be high resolution for the project.

21. If supplying muliple images for inclusion in a design or website. Please send via We transfer and categorise images where possible.

22. Do not send amends via WhatsApp. Email is the preferred communication for any amends to designs.

23. Lesley Moss has no control of, or responsibility for the content of Clients’ websites/promotional material. In no way does the textual or image based content of our Client’s websites constitute Lesley Moss endorsement, or approval of the website or the material contained within the website/promotional material.

24. Lesley Moss has not verified any of the materials, images or information contained within our Client’s website and is not responsible for the content or performance of these sites or for the Client’s transactions with them.

HOSTING
25. Lesley Moss will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by any third party suppliers.

26. All licenced plug ins, website software and stock photography remain the property of Lesley Moss / Northsouth Design & Web and are only licenced to be used for projects undertaken by Northsouth Design & Web. These licences cannot be transferred away from Northsouth Design & Web and would have to be purchased separately if we are no longer the client’s preferred developers. If clients contract other developers outside of Northsouth Design or build a new site then the developer or client will need to purchase licences for Beaver Builder, Ultimate Addons, Astra Pro and Short Pixel.

27. Lesley Moss will supply any contracted third parties with the appropriate log in details if needed.

28. Hosting payments are due yearly and should be paid by the date on the invoice. Any delay will mean the website will be suspended. Failure to communicate with us will also result in the website being suspended.

DOMAIN NAMES
29. Unless Northsouth Design has bought the domain name on the client’s behalf, It is the responsibility of the Client to renew their domain names when due.

30. If a domain name expires, Lesley Moss cannot be held liable for this if payment has not been made. If the Client does not renew a domain, their domain name could be made available to the public for purchase and Lesley Moss cannot be held liable for this.

31. If Northsouth Design bought the domain name on behalf of the client, the invoice for renewal needs to be paid on receipt of the invoice. Failure to pay will result in the client losing the domain name and the website being removed from our hosting.

PAYMENTS
32. Invoices for design, print and website projects need to be paid within 14 days. A reminder email will be sent to the client if this deadline is missed.

33. Invoices for website amends to live websites MUST be paid on receipt.

34. SSL certificates also need to be paid on receipt of the invoice.

35. Payments should be made by bacs transfer.

36. The client will pay Lesley Moss any expenses incurred in connection with the recovery of monies outstanding (including legal costs).

37. Deposit costs are non refundable once the work begins.

WEBSITE MAINTENANCE
38. For clients who take out our website maintenance plans: Payment MUST be made on the 1st of each month. Failure to do this will mean that your updates will not be completed that month.

39. We allow one hour of text or image edits as part of all plans. This does not include new sections or pages.

40. Clients must answer our monthly form checks within 24 hours. This is vital for our checks and means we can make sure the forms are being received by you.

WORK CREDIT
41. Lesley Moss reserves the right to place any work completed by Lesley Moss/Northsouth Design in any portfolios showcasing work as well as on www.northsouthdesign.co.uk and social media unless an agreement has been issued beforehand.

42. Lesley Moss will credit Northsouth Design on any websites we build and a link will be added into the footer unless specifically asked not to.

CHANGES
43. We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material we will try to provide at least 10 working days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
